If i take off the intercooler cover ( the stock black thing) is there any down side? As if i take it off more of it is not covered and able to get air moved over it. Also on the stock Air box there is a small plastic peice that covers the only air inlet, is it best to leave that on or take that off?

If you remove the black plastic IC cover you will loose lots of airflow through the IC, making it become heat soaked much faster.

it makes it lose the seal with the ducting. ideally it should be left on

Yes the under hood ducting seals against it which forces air across the cooling fins, leave it on.
